These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between OOPA Philippines, Inc., a corporation duly organized and existing under the laws of the Republic of the Philippines ("Company", "we", "us", or "our"), and any individual ("User", "you", or "your") accessing or using the OOPA vehicle rental platform available at app.oopa.phand the OOPA mobile application (App ID: ph.oopa.app) (collectively, the "Platform").
BY CLICKING "I ACCEPT", CREATING AN ACCOUNT, OR OTHERWISE ACCESSING OR USING THE PLATFORM, YOU REPRESENT AND WARRANT THAT: (1) YOU HAVE READ AND UNDERSTOOD THESE TERMS; (2) YOU AGREE TO BE BOUND BY THESE TERMS; AND (3) YOU POSSESS THE LEGAL CAPACITY TO ENTER INTO THIS BINDING AGREEMENT.
IMPORTANT NOTICE:
2.1 "Operator" means any User who lists one or more vehicles for rental through the Platform.
2.2 "Customer" / "Renter" means any User who searches for, books, and operates a vehicle listed on the Platform.
2.3 "Booking" means a vehicle rental reservation created through the Platform and assigned a unique Booking Reference.
2.4 "Booking Reference" means the unique alphanumeric identifier (format: four random letters followed by six digits, e.g., ABCD123456) assigned to each confirmed booking.
2.5 "Rental Period" means the duration from the agreed pickup date/time to the agreed return date/time as specified in the Booking.
2.6 "Reservation Fee" means the initial partial payment collected at the time of booking to confirm a reservation.
2.7 "Balance" means the remaining rental amount due, as indicated in the Booking confirmation.
2.8 "KYC" means Know Your Customer, the identity verification process required before a Customer may complete a booking.
2.9 "Service Fee" means the platform commission charged by the Company for facilitating transactions, as published at checkout.
2.10 "User Content" means any information, data, text, photographs, or files submitted by Users, including vehicle listings, KYC documents, profile details, and messages.
To use the Platform, you must:
1. Be at least eighteen (18) years of age;
2. Have the legal capacity to enter into binding contracts under Philippine law;
3. Not be listed on any government watch list or subject to restrictions prohibiting participation;
4. Provide accurate, complete, and current information during registration and at all times thereafter;
5. Maintain only one (1) active account per individual; and
6. For Renters: possess a valid driver's license issued by the Land Transportation Office (LTO) or an equivalent foreign authority recognized in the Philippines.
You may register using an email address and password, or via a supported social login provider (Google, Facebook, or Apple). You are solely responsible for maintaining the confidentiality of your account credentials. You agree to:
1. Immediately notify the Company at [email protected] of any unauthorized account access or security breach;
2. Accept full responsibility for all activities conducted through your account; and
3. Not share, sell, or transfer your account to any third party.
By creating an account, you confirm that you are at least 18 years old. The Company reserves the right to terminate accounts found to belong to minors without notice.
Customers must complete identity verification ("KYC") before placing a Booking. Verification requires submission of:
1. A valid government-issued photo identity document (e.g., PhilSys National ID, passport, driver's license, SSS/UMID, PhilHealth, or postal ID);
2. Your driver's license (front and back);
3. A proof of billing / address document; and
4. A selfie photograph, taken as directed on the Platform (typically holding your physical identity document).
KYC submissions proceed through the following statuses:
DRAFT: submission started but not yet submitted;
PENDING: submitted and under review (typically within one (1) business day);
APPROVED: identity confirmed; Customer may proceed to book;
SALES_VERIFIED: identity verified in person by an authorized OOPA sales agent; treated as approved for booking;
REJECTED: submission did not pass review; Customer must resubmit with corrected documents; or
EXPIRED: a previously approved driver's license has passed its expiry date and must be re-verified.
Submitted identity documents and your selfie (a facial image) are processed solely for identity-verification purposes. Any automated checks that run in your browser or app are advisory only; every verification decision is made by a human reviewer. Storage, processing, and protection of KYC data are governed by our Privacy Policy. You provide explicit consent to such processing by submitting your KYC documents.
KYC NOTICE:
The Company operates as a technology intermediary connecting Operators (who list vehicles) with Customers (who rent them). The Company is NOT a party to any individual rental transaction, does NOT own, operate, or control the vehicles listed on the Platform, and makes no warranty as to the condition, safety, legality, or suitability of any vehicle.
DISCLAIMER OF AGENCY:
A Booking progresses through the following statuses:

While the Company endeavors to maintain continuous Platform availability, we make no warranty regarding uninterrupted access. The Platform may be unavailable due to maintenance, updates, or circumstances beyond our reasonable control. The Company shall not be liable for losses arising from Platform unavailability.
The Company charges Service Fees for facilitating bookings. Applicable fees are displayed during the booking process prior to payment confirmation and are inclusive in the total amount charged. Fees may be revised from time to time; the rate in effect at the time of booking shall apply. All fees are exclusive of applicable taxes.
Online payments on the Platform are processed by third-party payment gateways. The Company currently integrates Xendit, PayRex, and PayMate; the gateway used for a given transaction is the one active at the time of payment and may change from time to time. All card and e-wallet details are entered on the payment gateway's own secure hosted checkout page. The Company does not receive or store your raw card numbers; we retain only the gateway's transaction reference, the payment method type, the amount, and the payment status. By making a payment, you agree to the applicable payment processor's terms of service.
Bookings are charged in two parts:
1. Reservation Fee: collected at the time of booking to hold the vehicle. Payment of the Reservation Fee moves the Booking to Pending Verification status.
2. Balance: the remaining amount, as disclosed in the Booking confirmation. The Balance payment terms (amount, due date, and accepted payment method) are communicated via the Booking detail and in-app messaging.
Depending on the active payment gateway, accepted methods include credit and debit cards, e-wallets (such as GCash, Maya, GrabPay, and ShopeePay), QR Ph / InstaPay, WeChat Pay, UPI, and online bank transfer, presented on the gateway's hosted checkout page. Where enabled, you may also pay by manual bank transfer (including scanning a QR Ph code and uploading proof of payment) or by applying your OOPA Credits balance. Available methods may vary and are displayed at checkout.
Displayed prices are exclusive of VAT and other applicable government charges unless stated otherwise. The Company will collect and remit taxes as required by law.
Initiating a fraudulent or unjustified chargeback with your payment provider constitutes material breach of these Terms and may result in immediate account termination and referral for legal action.
A Customer may cancel a Booking without contacting support only when the Booking is in Processingstatus AND no Reservation Fee has been paid. Once any payment has been made, self-service cancellation is no longer available and the Customer must contact support at [email protected].
An Operator may reject a booking that is in Pending Verification status. In the event of Operator rejection, the Company will assess and process an appropriate refund of the Reservation Fee in accordance with the Cancellation Policy published on the Platform.
Bookings in Processing status that are not paid within the allotted time window will automatically expire. Expired bookings are non-refundable as no payment has been collected.
Approved refunds are returned to the original payment channel, or (where you agree) as OOPA Credits, typically within five (5) to ten (10) business days, subject to the payment processor's timeline. The Company bears no responsibility for delays caused by banks or payment processors.
Booking modifications (date/time changes, vehicle substitutions) are subject to Operator approval and vehicle availability. Additional charges may apply. Modification requests must be made via in-app messaging with the Operator or through [email protected].
Operators represent and warrant that all listed vehicles:
1. Are registered with the Land Transportation Office (LTO) and bear current registration plates;
2. Have passed required emissions testing and safety inspections;
3. Are roadworthy and in safe operating condition;
4. Are covered by valid comprehensive motor vehicle insurance;
5. Are not subject to liens, encumbrances, or legal restrictions prohibiting rental; and
6. Meet all applicable safety standards and regulatory requirements.
Operators MUST maintain at minimum the following coverage at all times during which their vehicles are listed:
1. Third-Party Liability Insurance: minimum PHP 100,000 coverage;
2. Comprehensive Coverage: market value of the vehicle;
3. Personal Accident Insurance: minimum PHP 100,000 per passenger; and
4. Acts of Nature Coverage: flood, earthquake, and typhoon damage.
Current proof of insurance must be uploaded and maintained on the Operator Portal at all times.
Operators must provide accurate, complete, and truthful information in all listings, including vehicle make, model, year, condition, features, photographs, pricing, and availability. Misrepresentation constitutes material breach and grounds for immediate account termination.
Operators are expected to accept or reject Bookings in Pending Verification status promptly, and in any event within the timeframe specified in Platform guidelines. Prolonged non-response may result in automatic cancellation and refund to the Customer.
1. Possess a valid, non-expired driver's license for the vehicle class being rented;
2. Have at least two (2) years of driving experience;
3. Not operate the vehicle while under the influence of alcohol, drugs, or controlled substances;
4. Operate the vehicle in compliance with all traffic laws and the Land Transportation and Traffic Code;
5. Not permit any third party not named in the Booking to operate the vehicle; and
6. Return the vehicle in the same condition as received, ordinary wear and tear excepted.
Renters SHALL NOT use rented vehicles for:
1. Commercial purposes including ride-sharing (e.g., Grab, inDrive), delivery services, or transportation for hire;
2. Motor racing, speed testing, or off-road driving;
3. Transportation of illegal goods, hazardous materials, or contraband;
4. Towing or pushing other vehicles (unless the listed vehicle is specifically designated for such use);
5. Driver education or instruction;
6. Travel outside the area specified in the Booking (if applicable); or
7. Any illegal activity or purpose whatsoever.
Renters must immediately report any accident, theft, or damage to the Operator and to [email protected]. Failure to report known incidents as soon as practicable voids any recourse the Renter may otherwise have.
LIABILITY WARNING:
The Platform provides an in-app real-time messaging system allowing Customers and Operators to communicate regarding active Bookings and vehicle inquiries. File attachments (images and documents up to 20 MB) may be shared within the Platform.
Users must not use the messaging feature to:
1. Harass, threaten, or abuse other Users;
2. Share personal contact information for the purpose of circumventing Platform fees;
3. Distribute spam, malware, or unauthorized promotional content; or
4. Conduct transactions outside the Platform's payment system.
The mobile application may send push notifications for Booking updates, messages, and payment confirmations. You may manage push notification permissions through your device settings. Push notifications require Device Permission consent and use Firebase Cloud Messaging (FCM). See our Privacy Policy for details.
The Company reserves the right to monitor in-app messages for the purpose of enforcing these Terms, resolving disputes, investigating fraud, and maintaining Platform safety. Message monitoring is conducted in accordance with our Privacy Policy.
The Company may offer affiliate programs and discount codes from time to time. Participation in such programs is subject to separate terms published on the Platform. Discount codes are non-transferable, single-use unless otherwise stated, and may not be combined with other promotions. The Company reserves the right to revoke or adjust affiliate commissions or discount entitlements in the event of fraud or misuse.
All content, trademarks, service marks, logos, trade names, platform architecture, and intellectual property rights in the Platform are owned exclusively by the Company or its licensors. Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for their personal, non-commercial purposes permitted under these Terms.
By submitting User Content, you grant the Company a worldwide, royalty-free license to use, reproduce, adapt, publish, and display such content for purposes of operating and improving the Platform. You represent that you own or have the necessary rights to submit such content and that it does not infringe any third-party rights.
Users SHALL NOT engage in any of the following:
1. Violate any applicable laws, regulations, or third-party rights;
2. Interfere with or disrupt the Platform, its servers, or connected networks;
3. Attempt to gain unauthorized access to any part of the Platform or other Users' accounts;
4. Use automated systems (bots, scrapers, spiders) to access the Platform without express written consent;
5. Reverse engineer, decompile, or disassemble any Platform component;
6. Transmit viruses, malware, ransomware, or other harmful code;
7. Harass, threaten, defame, or abuse other Users or Company personnel;
8. Submit false, misleading, or fraudulent information including during KYC;
9. Circumvent Service Fees, including by arranging transactions offline to avoid Platform payment;
10. Use the Platform to facilitate money laundering, terrorist financing, or activity prohibited under the Anti-Money Laundering Act (RA 9160); or
11. Engage in any activity designed to artificially inflate ratings, reviews, or booking statistics.
VIOLATION OF THESE PROHIBITIONS MAY RESULT IN IMMEDIATE ACCOUNT TERMINATION AND LEGAL ACTION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
A.THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT;
B. THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM;
C.THE COMPANY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE SERVICE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY;
D. THE COMPANY IS NOT RESPONSIBLE FOR THE CONDUCT OF USERS OR THE CONDITION, SAFETY, LEGALITY, OR AVAILABILITY OF ANY VEHICLE LISTED ON THE PLATFORM; AND
E. THE COMPANY MAKES NO WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF USER CONTENT OR THIRD-PARTY SERVICES INCLUDING PAYMENT PROCESSORS.
ACKNOWLEDGMENT:
You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; (d) damage to or theft of any vehicle; (e) personal injury or property damage arising from your conduct; (f) any fraudulent, misleading, or inaccurate User Content you submit; or (g) your breach of any obligation under the Rental Agreement.
Before initiating formal proceedings, Users agree to first contact the Company at [email protected] and allow thirty (30) days for the Company to attempt to resolve the dispute in good faith.
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, including the Civil Code, the Electronic Commerce Act (RA 8792), and all other applicable Philippine legislation, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms that cannot be resolved internally shall be subject to the exclusive jurisdiction of the proper courts of Taguig City, Metro Manila, Philippines. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue.
The parties may mutually agree in writing to submit disputes to binding arbitration under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI). The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
You may close your account at any time by contacting [email protected]. Account closure does not relieve you of obligations incurred prior to termination, including outstanding payments, pending Bookings, or vehicle damage claims.
The Company may suspend or terminate your account immediately, with or without prior notice, for:
1. Violation of these Terms or applicable laws;
2. Fraudulent, abusive, or harmful conduct;
3. Failure to pass or maintain KYC / required documentation;
4. Non-payment of fees or initiation of unjustified chargebacks; or
5. Any reason at the Company's sole discretion, subject to applicable consumer protection laws.
Upon termination, your licence to use the Platform ceases immediately. Sections II, IX (Renter Obligations), XIV (Limitation of Liability), XV (Indemnification), XVI (Dispute Resolution), and XVII (Termination) survive termination.
A. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and the Rental Agreement executed at vehicle pickup, constitute the entire agreement between you and the Company and supersede all prior agreements.
B. Data Privacy
Collection, use, and protection of your personal data are governed by our Privacy Policy, which forms part of these Terms. By using the Platform, you consent to data processing as described therein in accordance with Republic Act No. 10173 (Data Privacy Act of 2012).
C. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
D. Waiver
Failure or delay by the Company to enforce any right or provision shall not constitute a waiver of such right or provision.
E. Assignment
You may not assign or transfer these Terms or any rights hereunder without the Company's prior written consent. The Company may assign these Terms at any time without restriction.
F. Amendments
The Company reserves the right to modify these Terms at any time. Material changes will be communicated with at least thirty (30) days' notice via email or in-app notification. Continued use after the effective date of changes constitutes acceptance.
G. Force Majeure
The Company shall not be liable for failure to perform obligations due to circumstances beyond its reasonable control, including natural disasters, acts of government, civil unrest, or telecommunications failures.

BINDING ACKNOWLEDGMENT
BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE IN THEIR ENTIRETY, UNDERSTAND YOUR RIGHTS AND OBLIGATIONS, AND AGREE TO BE LEGALLY BOUND BY ALL PROVISIONS HEREIN. THESE TERMS ARE EFFECTIVE AS OF THE DATE YOU FIRST ACCESS THE PLATFORM.
